3. Roles and Responsibilities
3.1. Partner SCJVP
- Provides and manages the Energy Chain ERP system.
- Develops smart contracts based on SCJVP consultation.
- Ensures accurate distribution of reflection rewards to the SCJVP.
3.2. EneryChain
- Consults with the Operator to define milestone tokenization criteria, including industry-specific needs.
- Reviews and approves smart contract frameworks before deployment.
- Promotes the usage of tokenized milestones and ensures alignment with the ERP ecosystem.
4. Reflection Rewards
- Earnings:
- The SCJVP earns 5% of the total user/gas fees generated through the ERP for transactions involving the specific consulted smart contract.
- Fees are aggregated and distributed prorata based on the smart contract’s utilization.
- Distribution:
- Reflection rewards are disbursed to the SCJVP on a [monthly/quarterly] basis.
- Payments are made in [ENRC/fiat currency], depending on the agreed terms.
- Utilization Metrics:
- Reflection rewards are directly tied to the smart contract’s activity levels, including the frequency of milestone tokenization and the volume of related transactions.
5. Milestone Tokenization Process
- The SCJVP consults with the Energychain.ca to determine:
- Milestone types relevant to specific energy sector workflows.
- Tokenization logic for these milestones, including success criteria and triggers.
- Smart contracts are developed, tested, and deployed to automate the milestone tokenization process.
- Once deployed, these smart contracts operate autonomously to handle token issuance and transaction validation within the ERP system.
6. Fees and Payment Terms
- Gas fees for milestone tokenization and transaction processing are collected by the Energychain
- The SCJVP's 5% reflection reward is reflected from these fees and credited to the SCJVP’s account.
- The SCJVP is responsible for providing accurate payment details and ensuring compliance with tax and regulatory obligations.
7. Reporting and Auditing
- The Energychain will provide the SCJVP with:
- Regular utilization reports for the smart contract.
- Detailed statements of gas fees collected and reflection rewards earned.
- The SCJVP has the right to request an independent audit of fee distributions at their expense.
8. Ownership and Intellectual Property
- Smart contracts developed under this Agreement remain the intellectual property of Energychain.
- The SCJVP retains rights to consultative input provided but does not claim ownership of the deployed smart contracts.
9. Dispute Resolution
- Mediation: Any disputes arising from this Agreement shall first be resolved through mediation under the laws of Alberta.
- Arbitration: If mediation fails, disputes shall be settled through binding arbitration in accordance with the Arbitration Act (Alberta).
- Jurisdiction: This Agreement is governed by the laws of Alberta, Canada.
10. Termination
- Either party may terminate this Agreement with [90 days] written notice.
- In the event of termination:
- Reflection rewards accrued up to the termination date will be paid in full.
- The Operator may continue to use the smart contract without further obligation to the SCJVP.
11. Force Majeure
Neither party shall be liable for delays or failures resulting from unforeseen circumstances beyond their control, including but not limited to natural disasters, regulatory changes, or technical failures.
12. Confidentiality
All consultation materials, smart contract designs, and financial records are deemed confidential. Any breach of confidentiality will result in penalties in accordance with Alberta law.
13. Entire Agreement
This Agreement constitutes the entire understanding between the parties regarding the SCJVP program and supersedes all prior agreements or representations.
